1. Acceptance of Terms
These Terms of Service ("Terms") govern your access to and use of the Contract Scanner website and contract-analysis service (the "Service"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
2. Description of the Service
The Service uses automated and AI-assisted tools to review contracts and highlight potentially notable clauses, risks, and negotiation points in plain language. The Service provides general informational output only.
3. Not Legal Advice
THE SERVICE DOES NOT PROVIDE LEGAL ADVICE AND IS NOT A SUBSTITUTE FOR A LICENSED ATTORNEY. We are not a law firm, and using the Service does not create an attorney-client relationship. AI-generated analysis may be incomplete, inaccurate, or out of date. You should not rely on the Service for legal, financial, or other professional decisions, and you should consult a qualified attorney before signing or acting on any contract.
4. Eligibility and Accounts
You must be at least 18 years old and able to form a binding contract to use the Service. You are responsible for the accuracy of your account information, for keeping your credentials confidential, and for all activity under your account.
5. Acceptable Use
You agree not to misuse the Service, including by: uploading content you do not have the right to submit; attempting to breach security or rate limits; reverse engineering or scraping the Service; using it to build a competing product; or using it for any unlawful purpose.
6. Payments, Credits, and Refunds
Certain features require payment. Prices, credits, and plan terms are shown at checkout and may change prospectively. Purchases grant the credits or access described at the time of purchase. Except where required by law, payments are non-refundable and credits are non-transferable and may expire as described at purchase. Payments are processed by our third-party payment provider, and you agree to their terms.
7. Your Content
You retain ownership of the content you submit. You grant us a limited, non-exclusive license to process, transmit, and store your content solely to operate and provide the Service (including sending it to our AI provider to generate your analysis). You represent that you have the rights necessary to submit your content and that doing so does not violate any law or third-party right.
8. Intellectual Property
The Service, including its software, design, and branding, is owned by us and protected by intellectual-property laws. We grant you a limited, revocable, non-transferable license to use the Service for its intended purpose. You may not copy, modify, or distribute any part of the Service except as expressly permitted.
9. Third-Party Services
The Service relies on third-party providers (including AI, payment, and hosting providers). We are not responsible for the acts, omissions, or availability of third-party services, and their use may be subject to their own terms.
10. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ANY ANALYSIS WILL BE ACCURATE OR COMPLETE.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM OR (B) USD $50.
12. Indemnification
You agree to indemnify and hold harmless Contract Scanner, its affiliates, and its personnel from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from your content, your use of the Service, or your violation of these Terms or any law.
13. Termination
We may suspend or terminate your access to the Service at any time, with or without notice, if we believe you have violated these Terms or to protect the Service. You may stop using the Service and delete your account at any time. Sections that by their nature should survive termination will survive.
14. Governing Law and Disputes
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-laws rules. Any dispute will be resolved in the courts located there, and you consent to their jurisdiction, except where applicable law requires otherwise.
15. Changes to These Terms
We may modify these Terms from time to time. We will post the updated Terms with a new effective date. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
